B. Advisory Services
Buy-side advice: In M&A and real estate transactions we support investors in identifying and analyzing suitable acquisition targets, provide access to the vendor, coordinate transaction structuring and due diligence, develop fully integrated financial models (p&l, balance sheet and cash flow statements), advise on the valuation and financing of the target and accompany our clients in the sales & purchase agreement and financing negotiations. In selected situations S&C is prepared to support the investors in the management & controlling of the targets throughout the entire holding period.
Sell-side advice: In business and real estate disposals we support the vendors in developing disposal and marketing strategies including advice on the valuation, the installation of data rooms, the approach of potential investors, the coordination of investors’ due diligence, the analysis of the quality of the different offers, in the negotiations with the bidders and the execution of the sales & purchase agreement.
Financing and restructuring: We provide a profound business, financial and risk analysis of the company or the properties and develop a fully integrated business and cash flow/ liquidity plan. From this basis we propose precise action for the structure of the financing of the company/properties or project financing and accompany its implementation. The advice comprises the development of restructuring measures, the execution of capital increases through the capital markets, funds and private placements as well as the structuring of loans and subordinated capital.
